Robinhood Ventures Fund II Prices IPO at $200 Million

Robinhood Ventures Fund II has priced its initial public offering at $25 per share, raising $200 million as the firm expands its retail-focused private market access. The new fund, which debuts on the New York Stock Exchange under the ticker RVII, provides public-market investors a conduit into private-company portfolios.

The offering involves 8 million common shares, with the fund’s total valuation potentially climbing to $255.5 million if underwriters exercise their 30-day option to purchase an additional 1.2 million shares. Trading is scheduled to commence on the New York Stock Exchange on August 13. The Securities and Exchange Commission cleared the registration statement for the sale earlier this week, marking another milestone in Robinhood’s strategy to bridge the gap between retail investors and pre-IPO assets.

Structured as a business development company, RVII functions similarly to its predecessor, RVI. This vehicle allows participants to gain exposure to private firms through a publicly traded entity, bypassing traditional accreditation requirements. Robinhood Ventures serves as the investment adviser, managing a portfolio that historically includes high-profile technology companies. Goldman Sachs & Co. LLC is acting as the lead bookrunner for the offering, supported by a syndicate including Citigroup, J.P. Morgan, UBS Investment Bank, and Wells Fargo Securities. This expansion follows Robinhood’s recent regulatory approval to serve as an underwriter, signaling a broader move to integrate retail participation into the core machinery of capital markets.
